User Agreement

Welcome to sign the "Token Box User Agreement" (hereinafter referred to as the "Agreement") with Token Box (hereinafter referred to as "Token Box" or "we") and use the services of the Token Box platform!

We hereby specially remind you (the user) that before registering as a user of Token Box, please carefully read this "Token Box User Agreement" (hereinafter referred to as the "Agreement") to ensure that you fully understand all the clauses in the Agreement, especially the clauses related to the exemption or limitation of liability, the clauses of rights license and information use, the clauses of consent to activation, the clauses of law application and dispute resolution, etc. If you are a natural person under the age of 18 or a person with limited capacity for civil conduct as stipulated by other laws, please read this Agreement accompanied by your legal guardian and pay special attention to the clauses for minors. The exercise and performance of the rights and obligations under this Agreement by minors are deemed to have obtained the recognition of their legal guardians. Unless you have read and accepted all the clauses of this Agreement, you have no right to use the services provided by the Token Box platform. Your use of the services is deemed to be an acceptance of all the contents of this Agreement.

## I. Definitions

The Token Box platform refers to the Token Box website (*) and the Token Box mobile application software (APP), etc. (including new forms that may appear with the development of technology in the future).

Users include registered users and unregistered users, hereinafter also referred to as "you". A registered user refers to a user who has completed all the registration procedures on the Token Box platform and uses the services of the Token Box platform or the materials on the Token Box platform. An unregistered user refers to a user who has not registered and directly logs in to the Token Box platform or enters the Token Box platform through other websites and directly or indirectly uses the services of the Token Box platform or the materials on the Token Box platform.

The contents of this Agreement also include relevant agreements, rules, etc. regarding the "Token Box" software and related services that we have released and may continuously release in the future. The aforementioned contents, once officially released and delivered to users in an appropriate manner (such as through internal messages, system notifications, etc.), shall be an integral part of this Agreement, and you should also comply with them. If the user does not accept the modified clauses, please immediately stop using the services. The continued use of the services by the user is deemed as acceptance of the modified Agreement.

## II. Account Registration

1. Before using the services, users need to register a Token Box account. The Token Box account should be registered by binding a mobile phone number. Please use a mobile phone number that has not been bound to a Token Box account and has not been blocked by Token Box according to this Agreement to register a Token Box account. We may change the methods of account registration and binding according to user needs or product requirements without prior notice to users.

2. If a registration applicant has a prior record of being blocked by us, is suspected of false registration, registering under the name of others, or has other reasons for which permission cannot be obtained, we will reject their registration application.

3. In view of the binding registration method of the Token Box account, you agree that Token Box may use your mobile phone number and mobile device identification code and other information for registration at the time of registration.

4. When a user registers and uses the services, we need to collect personal information that can identify the user so that we can contact the user when necessary or provide a better user experience. The information we collect includes but is not limited to the user's name, phone number, etc. Token Box agrees that the use of such information will be restricted by the protection of user personal privacy information.

## III. Account Security

1. Once a user successfully registers and becomes a user of Token Box, they will obtain a username and password and have the right to log in to Token Box at any time using their username and password.

2. The user shall be fully responsible for the security of the username and password and shall be fully responsible for all activities and events carried out under their username.

3. The user shall not arbitrarily transfer or authorize others to use their Token Box username in any form.

4. The user shall properly keep the password and shall not disclose the password to others. All losses caused by improper password management shall be borne by the user themselves.

5. If the user leaks the password, it may lead to adverse legal consequences. Therefore, regardless of the reason, if the security of the password is threatened, the user should immediately contact the customer service personnel of Token Box, otherwise, the user shall bear the consequences.

## IV. User Declaration and Warranty

1. The user undertakes that it is a civil subject with full capacity for civil conduct and has the ability to conclude transactions and perform its obligations.

2. The user is obliged to provide their true information during registration and ensure the validity and security of information such as the mobile phone number and name, so that the staff of Token Box can contact the user through the above contact information. At the same time, the user is obliged to update the relevant registration information in a timely manner when the relevant information actually changes.

3. Any content uploaded, copied, published, or disseminated by the user during the use of Token Box, including but not limited to the registration information and authentication materials such as the account avatar, name, and user description, or the text, voice, pictures, videos, graphics, and related link pages sent, replied to, and other contents generated by using the account or the services shall not violate the relevant national legal system, including but not limited to the following principles:

(1) Violating the basic principles determined by the Constitution;

(2) Endangering national security, disclosing state secrets, subverting state power, and undermining national unity;

(3) Damaging national honor and interests;

(4) Inciting ethnic hatred and discrimination and undermining national unity;

(5) Damaging national religious policies, promoting cults and feudal superstition;

(6) Spreading rumors, disturbing social order, and undermining social stability;

(7) Spreading pornographic, gambling, violent, homicidal, terrorist, or instigating criminal content;

(8) Insulting or slandering others and infringing on the legitimate rights and interests of others;

(9) Containing other contents prohibited by laws and administrative regulations.

4. The user shall not use the Token Box account or the services to upload, copy, publish, or disseminate the following contents that interfere with the normal operation of Token Box and infringe on the legitimate rights and interests of other users or third parties:

(1) Containing any sexual or sexually suggestive content;

(2) Containing abusive, intimidating, or threatening content;

(3) Containing harassing, spam, malicious information, or deceptive information;

(4) Involving the privacy, personal information, or materials of others;

(5) Infringing on the legitimate rights and interests of others, such as the right to reputation, the right to portrait, intellectual property rights, trade secrets, etc.;

(6) Containing other information that interferes with the normal operation of the services and infringes on the legitimate rights and interests of other users or third parties.

## V. Services Provided Based on the Software

We provide services to you relying on the "Token Box" software, and you should also comply with the following agreements:

1. During the use of the services, you may need to download the software. For these software, we grant you a personal, non-transferable, and non-exclusive license. You can only use these software for the purpose of accessing or using the services.

2. When you use the "Token Box" software and related services, you can obtain the "Token Box" client application program or access the relevant websites of Token Box through pre-installation, downloading from third parties authorized by us, etc. If you obtain the software from a source other than us or a third party authorized by us, we cannot guarantee that the unofficial version of the "Token Box" software can be used normally, and we are not responsible for any losses you suffer as a result.

3. In order to improve the user experience, ensure the security of the services, and maintain the consistency of product functions, we may update the software. You should update the relevant software to the latest version. Otherwise, we do not guarantee that it can be used normally. You have the right to choose to accept the updated version or services. If you do not accept it, some functions will be restricted or you will not be able to continue using the services. If you no longer need to use the "Token Box" software and related services, you can uninstall it by yourself.

Unless otherwise permitted by us in writing, you shall not engage in any of the following acts:

(1) Deleting the copyright information on the software and its copies;

(2) Reverse engineering, reverse assembling, reverse compiling the software, or attempting to discover the source code of the software in other ways;

(3) Using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, creating mirror sites, etc. of the content for which we own intellectual property rights;

(4) Copying, modifying, adding, deleting, hooking, or creating any derivative works of the data released into any terminal memory during the operation of the software, the interactive data between the client and the server during the operation of the software, and the system data necessary for the operation of the software, including but not limited to accessing the software and related systems using plugins, add-ons, or third-party tools/services not authorized by us;

(5) Modifying or forging the instructions and data during the operation of the software, adding, deleting, or changing the functions or operation effects of the software, or operating or disseminating the software and methods for the above purposes to the public, regardless of whether these acts are for commercial purposes;

(6) Logging in or using our software and services through third-party software, plugins, add-ons, or systems not developed or authorized by us, or creating, publishing, or disseminating third-party software, plugins, add-ons, or systems not developed or authorized by us.

## VI. Termination of Services

1. In the following situations, Token Box has the right to terminate providing services to users:

(1) When the user violates the relevant provisions of this service agreement, Token Box has the right to terminate providing services to the user; if the user registers as a user directly or indirectly under their own name or the name of others again, once discovered, Token Box has the right to unilaterally terminate providing services to the user;

(2) If we contact the user through the information provided by the user and find that the contact information filled in during registration no longer exists or cannot be reached, and we notify the user to change it through other contact methods, and the user fails to provide new contact information within three working days, we have the right to terminate providing services to the user;

(3) The user shall not conduct volume brushing or cheating through programs or manual means. If the user is found to have cheating behavior, we will immediately terminate the services and have the right to withhold the amount in the account;

(4) Once we find that the data or information provided by the user contains false content, we have the right to terminate providing services to the user at any time;

(5) When the service terms are terminated or updated, the user explicitly refuses to accept the new service terms;

(6) And other situations where we believe that the services need to be terminated.

2. After the termination of the services, we have no obligation to retain any information in the original account or related to it, or forward any unread or unsent information to the user or a third party.

3. The user understands and agrees that even after the termination of this Agreement and the termination of the services to the user, we still have the right to:

(1) Continue to save your user information;

(2) Continue to claim from the user the liability for violations of laws and regulations, this Agreement, and the platform rules during the user's use of the Token Box platform services.

## VII. Changes and Interruptions of Services

1. In view of the particularity of network services, the user agrees that we may change or interrupt part or all of the network services and delete (no longer save) any materials submitted by the user during the use process without notifying the user and without assuming any liability to any user or any third party.

2. We need to regularly or irregularly detect or update the platform providing network services. If the network services are interrupted within a reasonable time due to such situations, we do not assume any liability for this.

## VIII. Modification of Service Terms

1. We have the right to modify any content of these service terms at any time. Once any content of these service terms changes, we will prompt the modified content to the user in an appropriate manner.

2. If the user does not agree with the modifications made by us to these service terms, the user has the right to stop using the network services.

3. If the user continues to use the network services, it is deemed that the user accepts the modifications made by us to these service terms.

## IX. Disclaimer and Indemnity Statement

1. If we have explicitly indicated the changes in the service provision method and reminded the user of the matters needing attention, all consequences arising from the user's failure to operate as required shall be borne by the user themselves.

2. The user clearly agrees that all risks existing in the use of Token Box shall be borne by the user themselves, and all consequences arising from the use of Token Box shall also be borne by the user themselves.

3. The user agrees to protect and maintain the interests of Token Box and other users. If the user's behavior during the use of Token Box is illegal, untrue, improper, or infringes on the legitimate rights and interests of third parties, or the user violates any clause under this Agreement and causes losses to us or any other third party, the user agrees to bear the liability for damages caused thereby.

## X. Privacy Statement

1. Scope of Application:

(1) The personal registration information provided by the user according to the requirements when registering a Token Box account;

(2) The server values on the user's browser automatically received and recorded by Token Box when the user uses Token Box or accesses its related web pages, including but not limited to data such as the IP address and the web page records requested by the user.

2. Information Use:

(1) We will not sell or lend the user's personal information to anyone unless with the prior permission of the user;

(2) We also do not allow any third party to collect, edit, sell, or disseminate the user's personal information without compensation. If any user engages in the above activities, once discovered, we have the right to immediately terminate the service agreement with the user and seal their account;

(3) For the purpose of serving users, we may use the user's personal information to provide services to the user, including but not limited to sending product and service information to the user, or sharing information with our partners so that they can send information about their products and services to the user.

3. Information Disclosure:

The user's personal information will be partially or fully disclosed in the following situations:

(1) Disclosed to a third party with the user's consent;

(2) Disclosed to a third party or an administrative or judicial institution according to relevant provisions of laws or the requirements of an administrative or judicial institution;

(3) If the user violates relevant Chinese laws or website policies, it is necessary to disclose to a third party;

(4) To provide the products and services required by the user, it is necessary to share the user's personal information with a third party;

(5) Other disclosures deemed appropriate by Token Box according to laws or website policies;

## XI. Miscellaneous

1. We solemnly remind the user to pay attention to the clauses in this Agreement that exempt Token Box from liability and limit the user's rights. Please read them carefully and consider the risks independently. Minors should read this Agreement accompanied by their legal guardians.

2. The validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any dispute or controversy occurs between the user and us, it should be resolved amicably first. If the negotiation fails, the user agrees to submit the dispute or controversy to the people's court with jurisdiction in the place where Token Box is located.

3. If any clause of this Agreement is invalid or unenforceable for any reason, the remaining clauses shall remain valid and binding on both parties.

4. The final interpretation right of this Agreement belongs to the Token Box platform, and we reserve the right to interpret and modify it.

5. This Agreement shall be applicable as of April 1, 2025.
